Terms of Use

Thank you for using the SMART RECRUIT! Our mission is to create a simpler and more efficient way of working for your company's HR management by providing an intuitive, unified, secure and accessible human resource management platform. These terms of use ("Terms") cover your use of and access to our services, client software and website ("Services"). Regardless of the state in which your company, division of a company or subsidiary is registered, your contract for the use of our Services is with SMART RECRUIT.

  Our Privacy Policy explains how we collect and use your information and sets out your responsibilities when you use our services. By using our Services, you agree to be bound by these Terms and our Privacy Policy. 

Your data and your permissions When you use our Services, you give us things like your files, content, messages, contacts, and so on ("Your Data"). Your data is yours!

SMART RECRUIT is a software and author's work fully owned by WIDNET LLC Skopje.

Your responsibilities

Your use of our Services must be in accordance with these Terms and our Privacy Policy. Content on the Services may be protected by the intellectual property rights of others. Please do not copy, upload, download or share content unless you have the right to do so. The www.applications.mk (SMART RECRUIT) may review your conduct and content for compliance with these Terms and our Privacy Policy. We are not responsible for the content that you post and share through the Services. Help us protect Your Data. Protect your password for the Services and keep your account information current. Do not share your account login information or give others access to your account.

You may use our Services only as permitted by applicable law, including export control laws and regulations. 

Software 

Some of our Services allow you to download client software ("Software") that may be automatically updated. As long as you comply with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software solely to access the Services. If any component of the Software may be offered under an open source license, we will make that license available to you and the provisions of that license may take precedence over some provisions of these Terms. Unless the following restrictions are prohibited by law, you agree not to reverse engineer, modify or decompile the Services, attempt to do so, or assist anyone to do so. 

Beta services 

We sometimes release products and features that we are still testing and evaluating ("Beta Services"). Beta Services are referred to as "alpha", "beta", "preview", "early access" or "evaluation" (or words or phrases of similar meaning) and may not be as reliable as other SMART RECRUIT services. The Beta Services are available so that we can collect user feedback, and by using our Beta Services, you agree that we may contact you to collect such feedback. Beta services are confidential until official launch. If you use any Beta Services, you agree not to disclose any information about those Services to third parties without our permission.

Additional features

From time to time, SMART RCRUIT will add additional features to enhance the user experience of our service at no additional charge. However, these free features may be withdrawn without further notice. 

Our services 

The Services are protected by copyright, industrial property, trademark and other Macedonian and international laws. These Terms do not grant you any right or authority over the Services, third-party content in the Services, SMART RECRUIT trademarks, logos and other brand features. We welcome feedback, but please note that we may use comments or suggestions without any obligation to you. 

Copyright 
We respect the intellectual property of others and ask that you do the same. We respond to notices of alleged copyright infringement if they are consistent with the law, and such notices should be reported using our Privacy Policy. We reserve the right to delete or disable content that is alleged to violate legal provisions or violate the rights of third parties, as well as to terminate the accounts of users who repeatedly violate legal provisions or copyright. Our designated agent for notification of alleged copyright infringement of the Services is: Copyright Agent SMART RECRUIT – reachable via contact@widnet.mk. 

User accounts 

Payment. 

Users of our Services choose one of the offered packages that contain a certain number of modules. The price of the package is indicated in the package itself and it includes the amount of value added tax when applicable. When registering to use our Services and selecting a package, the User receives a FREE TRIAL of 14 days before the end of the free trial period, the User receives a notification regarding whether he chooses to continue with usage and under what conditions (which packages will be available for selection and at what price). You can increase the number of modules in your account (by choosing more functionalities or by choosing one of the module packages). You will be automatically billed from the date you select new modules until you cancel. If you are on an annual subscription, we will send you a notification email reminding you that your subscription will be renewed within a reasonable period of time before the renewal date. You are responsible for all applicable taxes, and we will collect tax where applicable. Some countries have mandatory local laws regarding your cancellation rights and these Terms do not derogate these laws. 

Cancellation. 

You may cancel your SMART RECRUIT user account at any time. If you are on an annual subscription, you will also be billed for the entire month in which you canceled your account, regardless of what part of the month you canceled your account. 

Changes. 

We may change the fees and tariffs that apply when you renew your subscription. In such event, we will give you no less than 30 days' advance notice of these changes by message to the email address associated with your account, and you will have the opportunity to cancel your subscription before the new fee and tariff takes effect.

Termination 

You are free to stop using our services at any time. We reserve the right to temporarily suspend or terminate your access to the Services upon notice to you if: 
                        You breach these Terms, 
                        Your use of the Services would cause a real risk of harm or loss to us or other users, or 
                        You do not have a paid account for using our Services. 
We will provide you with a reasonable advance notice to the email address associated with your account to notify you that you are in violation of these Terms and provide you with an opportunity to download Your Data from our Services. If you fail to take the steps we require of you after such notice, we will terminate or temporarily suspend your access to the Services. We will not provide notice or the ability to retrieve Your Data prior to terminating or suspending access to the Services when: 
                         you materially breach these Terms, 
                         we are forbidden by law. 
                         -doing so would expose us to legal liability or jeopardize our ability to provide the Services to our other users, or

Interruption of Services

We may decide to suspend the Services in response to exceptional unforeseen circumstances, events beyond ​WIDNET LLC Skopje control (for example, including but not limited to natural disaster, fire or explosion, etc.) or in order to comply with new legal conditions and requirements. If we do so, we will give you reasonable advance notice so that you can download Your Data from our systems (we will give you no less than 30 days' notice where possible in the circumstances). If we terminate the Services in this way before the end of any fixed or minimum term for which you have paid us, we will refund to you the part of the payment for which you have paid in advance but have not received the Services.

Services "AS IS"

We strive to provide excellent Services, but there are certain things we cannot guarantee. To the fullest extent permitted by law, ​WIDNET LLC Skopje and its affiliates, subsidiaries, suppliers and distributors make no warranties, express or implied, about the Services. The Services are provided "AS IS".

Limitation of Liability

We do not exclude or limit our liability to you in cases where it would be unlawful to do so – this includes the liability of WIDNET HR Portal or its affiliates for fraud or fraudulent misrepresentation in the provision of the Services. In countries where the following types of exclusions are not allowed, we are only liable to you for losses and damages that are a reasonably foreseeable result of our lack of reasonable care and knowledge or because of a breach of our contractual obligations to you. This provision does not affect consumer rights that cannot be waived or limited by any contract or agreement. If you are an EU or UK consumer these terms do not exclude SMART RECRUIT's liability for losses and damages resulting from our failure to use reasonable care and knowledge in providing the Services, so long as those losses and damages are reasonably foreseeable. In countries where exclusions or limitations of liability are permitted, WIDNET HR Portal, its affiliates, subsidiaries, related / associated legal entities, suppliers or distributors are not liable for:

any indirect, special or incidental damages or
any non-use, loss of data, performance or profits, regardless of legal theory.

These exclusions or limitations will apply whether or not​WIDNET LLC Skopje or any of its affiliates has been advised of the possibility of such damages. If you use the Services for commercial, business or resale purposes, ​WIDNET LLC Skopje, its subsidiaries, affiliates, suppliers or distributors shall have no liability to you for any loss of business, profit, business interruption or loss of business opportunity. ​SMART RECRUIT and its subsidiaries, affiliates and related / associated legal entities are not responsible for the conduct, either online or offline, of any user of the Services.

Except for the types of liability that we cannot limit by law (as described in this section), we limit our liability to you to a maximum of 100% of the amount you have paid pursuant to your user subscription to the ​SMART RECRUIT. Тhis provision does not apply to EU consumers in cases prohibited by applicable law.

Dispute resolution

We'd like to try to sort things out first. We want to address your concerns without needing a formal legal case. Before filing a claim against ​WIDNET LLC Skopje, you agree to attempt to resolve the dispute informally by sending a written Notice of Dispute to contact@widnet.mk that includes your name, a detailed description of the problem, and the resolution you seek. We will attempt to resolve the dispute informally by contacting you via email. If the dispute is not resolved within 60 days after the submission of this Notice, you or ​​WIDNET LLC Skopje may initiate formal proceedings. If you live in the EU, the European Commission provides an online dispute resolution platform.

Jurisdiction for disputes

You and ​SMART RECRUIT agree that any legal action to resolve claims related to these Terms or Services will be filed in the Regional Court in Skopje, N.Macedonia. Both you and ​WIDNET LLC Skopje consent to the venue, subject matter and personal jurisdiction of this court. If you live in a country (for example, a member state of the European Union) which by law gives consumers the right to bring disputes before their local courts, this provision may affect those disputes.

Governing law

These Terms will be governed by the laws of N.Macedonia, including conflict of laws rules. However, some countries (including those in the European Union) have laws that require contracts to be governed by the local laws of the consumer's country. This provision does not derogate those laws, unless otherwise applicable in each particular case.

Entire Agreement

These Terms constitute the entire agreement between you and ​WIDNET LLC Skopje with respect to the subject matter of these Terms and supersede and replace any other prior or contemporaneous agreements or terms applicable to the subject matter of these Terms. Our past, present and future subsidiaries and affiliates may invoke our rights under this Agreement in the event they are involved in a dispute with you. Otherwise, these Terms give no rights to third parties.

Cancellation and Transfer

The failure of ​SMART RECRUIT to enforce any provision shall not constitute a waiver of its right to do so later. If any provision is held to be unenforceable, the remaining provisions of the Terms will remain in effect and that provision will be replaced by a new applicable provision that reflects our intentions as closely as possible. You may not assign any of your rights under these Terms and any such attempt will be void and without legal effect. ​SMART RECRUIT may assign its rights to any of its affiliates or subsidiaries or any of its legal successors with respect to any matter related to the Services.

Modifications

We may revise and update these Terms from time to time to better reflect:

changes to the applicable laws,
new regulatory requirements, or
improvements or enhancements to our services.

If a revision and update affects your use of the Services or your legal rights as a user of our Services, we will notify you prior to the effective date of the update by sending an email to the email address associated with your account or by notice which will appear when logging into your user account. These updated terms will take effect no less than 30 days after we notify you. If you do not agree with the updates we make, cancel your account and stop using the Services before the updated Terms become effective and apply. Where applicable, we will offer you a prorated refund based on the amounts you paid in advance for the Services and the date of cancellation of your account. By continuing to use or access the Services after revisions and updates become effective, you agree to be bound by the revised and updated Terms.
